Account Registration
When you create an account with us, you must provide accurate and complete information. You are responsible for maintaining the security of your account and password. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations or industry compliance requirements
- Infringe upon intellectual property rights or confidentiality obligations
- Distribute malware or engage in activities that compromise security systems
- Interfere with or disrupt our consulting services, training platforms, or marketplace operations
- Share training materials or course content without authorization
- Use our cloud access credentials for unauthorized purposes
- Submit fraudulent orders or payment information in TechMarketplace
- Misrepresent your identity or business requirements for consulting services
Intellectual Property
Our Content
All training materials, course content, consulting methodologies, documentation, and proprietary tools provided through our Services are the property of Smartoire Solutions or our licensors and are protected by copyright, trademark, and other intellectual property laws. Training materials may not be reproduced, distributed, or shared without explicit written permission.
Your Content
You retain ownership of your business data, project requirements, and any content you provide during consulting engagements. By submitting content for service delivery, you grant us the necessary rights to use, modify, and process your content solely for the purpose of providing the agreed-upon services.
Third-Party Content
Our services may incorporate third-party technologies including Microsoft, Google Cloud, AWS, and Apple platforms. Use of these technologies is subject to the respective terms of service of those providers.
Service-Specific Terms
Consulting Services
- Consulting engagements are governed by separate project agreements or statements of work
- Payment terms are typically 50% upfront and 50% upon project completion
- Client responsibilities include providing timely access to systems and personnel
- Project timelines may vary based on client cooperation and technical requirements
Training Programs
- Course fees are non-refundable after the first class session
- Certification exam fees are separate from course tuition
- Course materials are for personal use only and may not be distributed
- Completion certificates are issued upon successful course completion
TechMarketplace
- Product prices are subject to change without notice
- Shipping and handling fees apply to physical products
- Software licenses are delivered electronically and cannot be returned once activated
- All sales are final unless otherwise specified in product warranty terms
Payment Terms
- Service fees must be paid in accordance with agreed-upon payment schedules
- Late payments may incur interest charges of 1.5% per month
- We reserve the right to suspend services for non-payment
- All prices are quoted in the currency specified in your agreement
Termination
We may terminate or suspend your account and access to the Services for:
- Violation of these Terms of Service
- Non-payment of fees
- Fraudulent or illegal activities
- Actions that compromise service security or integrity
You may terminate training program enrollment within 7 days of purchase for a full refund, minus any processing fees. Consulting services may be terminated according to the terms specified in your project agreement.
Disclaimer of Warranties
While we strive for excellence in service delivery, we provide no guarantees regarding:
- Specific business outcomes or ROI from consulting services
- Certification exam results from training programs
- Third-party product availability or performance
- Uninterrupted service availability
Limitation of Liability
Our total liability for any claims arising from our services shall not exceed the total fees paid for the specific service in question. We shall not be liable for indirect, consequential, or punitive damages, including lost profits or business opportunities.
Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your violation of these Terms.
Changes to Terms
We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Smartoire Solutions Inc. is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Both parties agree to maintain the confidentiality of proprietary information shared during service delivery. This includes but is not limited to business strategies, technical implementations, and client data. Confidentiality obligations survive the termination of these Terms.
Compliance and Regulatory Requirements
Clients are responsible for ensuring their use of our services complies with all applicable laws, regulations, and industry standards including but not limited to:
- Data protection regulations (GDPR, CCPA, etc.)
- Industry-specific compliance requirements (HIPAA, PCI-DSS, etc.)
- Export control laws for international technology transfers
